1 - GENERAL
Unless otherwise specifically agreed upon in writing, any order implies the complete acceptance on the part of the Purchaser of the general conditions of sale stipulated herein after, notwithstanding any stipulation to the contrary contained in his/her own general purchase conditions.
2 - ORDERS
In principle, after having been accepted, an order cannot be cancelled without our prior written confirmation and with the reservation that the cancellation costs will be borne by the Purchaser.
3 - TPROPERTY TRANSFER - RISKS
The sale will be considered as effected once the goods leave our stores whatever the delivery terms that might be foreseen. In consequence, the goods sold will travel at the Purchaser's risk and responsibility. They are not insured by us against the risks that might occur during their transportation. It is the Purchaser's responsibility to take out insurance and to act against the shipping agent in case of deterioration, loss, theft or any other incident and make, if necessary, additional insurance cover.
4 - DELIVERY
4-1 - Delivery periods: Our delivery periods are for information only. Failure to observe them cannot give rise to any claims for losses and damages.
4-2 - Return, exchange: None of the delivered goods may be returned or exchanged without our prior written agreement, which may be given with the reservation that any possible administrative costs related to this operation shall be reimbursed.
5 - PRICE
Our prices are to be understood as excluding the VAT, direct from our shops. They are subject to revision in case of variations in taxes, entry duties, customs duties, etc. The orders shall be invoiced under the conditions in force at the time of the delivery.
6 - PAYMENT
6-1 - Terms of payment: The payment of our invoices must be effected upon the placing of the order using a credit card (Visa, Eurocard, Mastercard).
6-2 - Partial deliveries: Unless otherwise expressly specified in the order, we reserve the right to effect partial deliveries; in such a case the buyer may not benefit from the fact that he/she has been obliged to wait for the delivery of the rest of the goods he/she had ordered in order to defer the payment of the ordered goods.
6-3 - Failure to pay: It is expressly agreed that, unless a postponement should be requested at least ten days in advance and unless this claim be duly accepted, the failure to pay invoices at their due dates, will have the following consequences:
6-3-1 - The immediate claim of all the outstanding amounts due, whatever the manner foreseen for their payment might be.
6-3-2 - The suspension of any further deliveries until the complete payment of the debt, including the payment of the amounts not yet due.
6-3-3 - The invoicing of penalties for delay, to be charged as from the date of such deadlines, at the rate of 1.25% per month, without prejudice to our legal interests or to our right to claim any possible legal costs. In the case of the intervention of our legal department, the price will be 15% higher for the debtor by virtue of the application of the penal clause.
6-4 - Reserve of property: In conformity with article 121 of the law N° 85-98 from 25/10/1985, the goods sold remain the property of the seller until they have been fully paid for. Notwithstanding this clause, the liability pertaining to the risks will be automatically transferred to the Purchaser as soon as he/she comes into possession of these goods.
7 - GUARANTEE
The only claims taken into account are those made within a period of three days following the date of the reception of the goods.
8 - CLAIMS
In the case of claims related to the present conditions, the only courts competent to intervene will be those to which the invoicing company is attached, whatever the delivery place or the payment terms accepted might be.
